This Sweepstakes (the “Sweepstakes”) is sponsored and administered by TrueFire Studios, LLC (“Sponsor” or “TrueFire”), located at [INSERT ADDRESS], in conjunction with [COMPANYB] (“Co-Sponsor”), located at [INSERT COMPANYB ADDRESS] (collectively, the “Sponsoring Entities”).
By submitting an entry in this Sweepstakes, each entrant (“Entrant” or “you”) agrees to be fully and unconditionally bound by these Official Rules and the decisions of the Sponsor, which shall be final and binding in all respects. Winning a prize is contingent upon fulfilling all requirements set forth herein. The Sponsoring Entities reserve the right to verify eligibility and adjudicate any dispute at any time.
The Sweepstakes is open to individuals who are eighteen (18) years of age or older at the time of entry. Entrants must provide a valid email address to enter. The Sweepstakes is void where prohibited or restricted by applicable law, rule, or regulation.
Eligibility for the Grand Prize (defined in Section 6.1) is limited to legal residents of the fifty (50) United States and the District of Columbia who are eighteen (18) years of age or older at the time of entry. Residents of U.S. territories, possessions, and military installations outside the fifty (50) states and the District of Columbia are not eligible for the Grand Prize.
The Secondary Prizes (defined in Section 6.2) are available to any eligible Entrant worldwide, aged eighteen (18) years or older, who resides in a jurisdiction where participation in this type of sweepstakes or giveaway is permitted under all applicable local, regional, and national laws. It is the Entrant’s sole responsibility to determine whether participation is lawful in their jurisdiction.
The following individuals are not eligible to enter or win: employees, officers, directors, agents, and representatives of the Sponsoring Entities, their respective parent companies, subsidiaries, affiliates, advertising and promotion agencies, and any other entity involved in the development, production, or administration of this Sweepstakes (collectively, the “Sweepstakes Entities”), as well as members of their immediate families (defined as spouse, domestic partner, parents, children, siblings, and their respective spouses, regardless of where they reside) and persons living in the same household of such individuals, whether or not related.
The Sweepstakes begins on [START DATE] at [START TIME] [TIME ZONE] and ends on [END DATE] at [END TIME] [TIME ZONE] (the “Sweepstakes Period”). The Sponsor’s computer shall serve as the official timekeeping device for the Sweepstakes. Entries submitted before or after the Sweepstakes Period will not be eligible. To enter, visit [ENTRY URL] during the Sweepstakes Period and submit your valid email address using the designated entry form. No purchase or payment of any kind is necessary to enter or win. Each Entrant is limited to one (1) entry per person during the Sweepstakes Period. Multiple entries from the same individual, regardless of the number of email addresses used, will result in disqualification of all entries by that individual.
By submitting an entry, you acknowledge and agree that your email address will be added to the email mailing lists of both TrueFire Studios, LLC and [COMPANYB]. You will receive marketing and promotional email communications from each Sponsoring Entity independently. You may unsubscribe from either or both mailing lists at any time by following the unsubscribe instructions in any email received. Unsubscribing from one or both mailing lists will not affect your entry, your eligibility, or your chances of winning.
All entries must be received during the Sweepstakes Period. Entries that are incomplete, illegible, corrupted, or otherwise not in compliance with these Official Rules will be disqualified. Proof of submission does not constitute proof of receipt by Sponsor. Sponsor is not responsible for lost, late, misdirected, incomplete, garbled, or unintelligible entries, or for any technical failures, including but not limited to:
[GRANDPRIZE DESCRIPTION]. Approximate Retail Value (“ARV”): $[XXXX] USD. The Grand Prize winner must be a legal resident of the fifty (50) United States or the District of Columbia and at least eighteen (18) years of age. If the selected Grand Prize winner is ineligible, does not reside in the United States, or otherwise fails to satisfy these Official Rules, the Grand Prize will be forfeited and awarded to an alternate winner selected by random drawing from among the remaining eligible entries.
Five (5) TrueFire All Access Annual Plans. ARV: $249.00 USD each. Total ARV of all Secondary Prizes: $1,245.00 USD. Secondary Prize winners may reside in any eligible jurisdiction worldwide, subject to applicable local laws. All Access Annual Plans are digital subscriptions, are non-transferable, carry no cash surrender value, and are subject to TrueFire’s standard Terms of Service.
Total ARV of all prizes: $[XXXX + $1,245.00] USD. No substitution, cash equivalent, or transfer of prizes is permitted except at the sole discretion of Sponsor. Sponsor reserves the right to substitute a prize of equal or greater value if the advertised prize becomes unavailable for any reason.
All federal, state, provincial, and local taxes, duties, levies, and any other costs and expenses associated with prize acceptance and use not specified herein as being provided are the sole responsibility of the winner. For U.S. residents, prizes valued at $600 or more will be reported to the Internal Revenue Service, and the winner may be required to complete and return an IRS Form W-9 as a condition of receiving the prize. Non-U.S. residents may be required to complete a Form W-8BEN or equivalent documentation. Failure to provide requested tax documentation within the timeframe specified by Sponsor may result in forfeiture of the prize.
Physical prizes, if any, will be shipped to the winner at the address provided during the verification process. Sponsor is not responsible for prizes that are lost, stolen, or damaged during shipment. Delivery of physical prizes to addresses outside the United States may be subject to additional customs duties, import taxes, or other fees, which are the sole responsibility of the winner. Digital prizes (including All Access Annual Plans) will be delivered electronically to the email address associated with the winning entry.
Winners will be selected in a random drawing from all eligible entries received during the Sweepstakes Period. The random drawing will be conducted on or about [DRAWING DATE] by the Sponsor or its designated representative, whose decisions are final and binding in all matters relating to this Sweepstakes. Odds of winning depend on the total number of eligible entries received.
Potential winners will be notified via the email address provided at the time of entry within 30 business days of the drawing. If a potential winner does not respond to the initial notification within seven (7) calendar days, or if the notification email is returned as undeliverable, the potential winner will be disqualified and an alternate winner may be selected from remaining eligible entries at Sponsor’s sole discretion. Sponsor shall have no liability for any notification that is lost, intercepted, or not received by a potential winner for any reason.
Potential winners may be required to sign and return an Affidavit of Eligibility, a Liability Release, and, where legally permissible, a Publicity Release within fourteen (14) calendar days of notification. Failure to return any required documents within the specified timeframe, or the return of any prize notification as undeliverable, may result in forfeiture of the prize and selection of an alternate winner. In the event of a dispute regarding the identity of an Entrant, the authorized account holder of the email address used to enter will be deemed the Entrant. “Authorized account holder” is defined as the natural person who is assigned an email address by an internet service provider, online service provider, or other organization responsible for assigning email addresses.

By submitting your entry, you expressly consent to be added to the email mailing lists of both TrueFire Studios, LLC and [COMPANYB]. This means you will receive marketing, promotional, and informational email communications from each Sponsoring Entity independently. Each Sponsoring Entity operates its mailing list separately and is independently responsible for the emails it sends to you.
You may unsubscribe from the mailing list of either or both Sponsoring Entities at any time by clicking the “unsubscribe” link included in every email, or by contacting the relevant Sponsoring Entity directly using the contact information provided in Section 18. Unsubscribing from one or both mailing lists will not affect your Sweepstakes entry, your eligibility to win, or your odds of winning. Please allow up to ten (10) business days for unsubscribe requests to be processed. You may still receive transactional or administrative emails related to the Sweepstakes (e.g., winner notification) even after unsubscribing from marketing communications.
The Sponsoring Entities will collect, store, and process the email address and any other personal information you submit in connection with the Sweepstakes for the following purposes:

For Entrants located in the European Economic Area (“EEA”) or the United Kingdom (“UK”), the legal basis for processing your personal data is: (a) your consent, which you provide by voluntarily submitting your entry; (b) performance of a contract (i.e., these Official Rules); and (c) compliance with legal obligations. You may withdraw your consent to marketing communications at any time as described in Section 9.2, without affecting the lawfulness of processing based on consent before its withdrawal.
Entrants outside the United States acknowledge and agree that their personal data may be transferred to, stored in, and processed in the United States, where data protection laws may differ from those in the Entrant’s country of residence. By entering this Sweepstakes, international Entrants consent to such transfer, storage, and processing. Where required by applicable law, the Sponsoring Entities will implement appropriate safeguards (such as standard contractual clauses) for such transfers.
To the extent required by applicable law (including but not limited to the EU General Data Protection Regulation, the UK GDPR, the California Consumer Privacy Act and its amendments, Brazil’s LGPD, Canada’s PIPEDA, and similar data protection legislation), you may have the right to:

Personal data collected for the purpose of administering the Sweepstakes will be retained for the duration of the Sweepstakes and for a reasonable period thereafter to fulfill prize delivery, tax reporting, and legal obligations. Personal data retained on mailing lists will be kept until you unsubscribe or request deletion, whichever occurs first.
All marketing emails sent by the Sponsoring Entities will comply with applicable anti-spam legislation, including the U.S. CAN-SPAM Act of 2003, Canada’s Anti-Spam Legislation (CASL), and equivalent laws in other jurisdictions. Every marketing email will identify the sender, include a valid physical postal address, and provide a clear and conspicuous mechanism to unsubscribe.
The Sweepstakes, including all associated content, trademarks, logos, and materials, is the property of the Sponsoring Entities and is protected by applicable intellectual property laws. Nothing in these Official Rules grants any Entrant any right, title, or interest in any intellectual property of the Sponsoring Entities. All trademarks referenced herein are the property of their respective owners.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE RELEASED PARTIES BE LIABLE TO ANY ENTRANT OR WINNER FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SWEEPSTAKES, INCLUDING BUT NOT LIMITED TO: (A) THE INABILITY TO PARTICIPATE IN THE SWEEPSTAKES; (B) ANY ERROR, OMISSION, INTERRUPTION, DEFECT, OR DELAY IN THE OPERATION OF THE SWEEPSTAKES; (C) ANY UNAUTHORIZED ACCESS TO, ALTERATION OF, OR THEFT OF ENTRIES; (D) ANY TECHNICAL MALFUNCTION, FAILURE, OR DIFFICULTY; OR (E) THE ACCEPTANCE, POSSESSION, USE, OR MISUSE OF ANY PRIZE. IN ANY EVENT, THE RELEASED PARTIES’ TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE APPROXIMATE RETAIL VALUE OF THE PRIZE WON BY THE APPLICABLE ENTRANT. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES; IN SUCH JURISDICTIONS, THE ABOVE LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED.
Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, extend, or suspend the Sweepstakes in whole or in part, at any time, for any reason, including but not limited to fraud, technical failures, human error, or any other factor that impairs the integrity or proper functioning of the Sweepstakes. In such event, Sponsor may, in its sole discretion, select winners from among all eligible, non-suspect entries received prior to such action. Sponsor further reserves the right to disqualify any Entrant it finds, in its sole discretion, to be: (a) tampering with the entry process or the operation of the Sweepstakes; (b) acting in violation of these Official Rules; (c) acting in an unsportsmanlike or disruptive manner; or (d) attempting to undermine the legitimate operation of the Sweepstakes by cheating, deception, fraud, or any other unfair practice.
Except where prohibited by law, these Official Rules and any disputes arising out of or related to the Sweepstakes shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of laws principles.
Except where prohibited by law, as a condition of participating in this Sweepstakes, each Entrant agrees that any and all disputes, claims, and causes of action arising out of or connected with the Sweepstakes, or any prize awarded, shall be resolved individually (not as part of any purported class, consolidated, or representative proceeding) through final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, and not by a court or jury. The arbitration shall take place in Pinellas County, Florida, or at another mutually agreed location. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ENTRANTS AGREE THAT ANY CLAIMS ARISING OUT OF OR RELATING TO THIS SWEEPSTAKES SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. This waiver applies to the fullest extent permissible and shall survive the termination of the Sweepstakes.
International Entrants acknowledge that participation in this Sweepstakes is subject to and governed by the laws of the State of Florida, United States, to the extent permitted by the Entrant’s local law. Nothing in these Official Rules shall deprive an Entrant of the protection of mandatory consumer protection laws of their country of residence. Entrants are solely responsible for ensuring that their participation complies with all applicable laws in their jurisdiction.
The Sponsoring Entities shall not be liable for any failure or delay in performing their obligations under these Official Rules where such failure or delay results from any cause beyond their reasonable control, including but not limited to: acts of God, pandemic, epidemic, natural disaster, war, terrorism, civil unrest, sanctions, embargo, government action or order, labor dispute, power failure, internet outage, cyberattack, or any other event of similar nature.
If any provision of these Official Rules is held to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent. If such modification is not possible, the provision shall be severed and the remaining provisions shall continue in full force and effect. The invalidity or unenforceability of any provision in any particular jurisdiction shall not affect its validity or enforceability in any other jurisdiction.
These Official Rules constitute the entire agreement between the Entrant and the Sponsoring Entities with respect to the Sweepstakes and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written. No amendment or modification of these Official Rules shall be binding unless made in writing by the Sponsor.
